We work this way.\n- **No minimum term.** A long lock-in protects revenue forecasts, not results.\n- **No auto-renewal** into a new fixed term with a long notice window.\n- **Name the handover in the clause.** Documentation of what is running and why.\n- **Confirm final billing.** Ours takes the last month upfront at the start, so the exit is already paid.\n\n## What a fair termination clause contains\n\nI run Flapen with about 70 brands under management, and I terminated agencies on the client side at BRANDED and Moonshot Brands. Sixty or ninety is a retention device. If an agency argues that ninety days is operationally necessary, ask what happens in those extra sixty days that could not happen in the first thirty.\n\nMutual matters too. If they can leave on 30 days and you need 90, the imbalance tells you how the relationship is priced.\n\n### No minimum term\n\nThe standard defense is that Amazon takes time. That is true. Launch work, listing rebuilds, and ad learning cycles all take months, and judging a partnership at week three is unfair.\n\nBut patience is earned with a milestone plan, not enforced with a clause. We run month-to-month with 30 days' notice and no long-term contract, and clients stay for years anyway. The retention comes from results.\n\n### Termination for convenience\n\nYou want the right to leave without proving fault. \"For cause\" clauses sound reasonable and are almost unusable in practice, because arguing that an agency breached a standard is slow, expensive, and unpleasant. Convenience termination avoids the entire fight.\n\n### The handover\n\nThis is the part most sellers forget until it matters. A termination clause that only governs timing leaves you with a revoked login on day 31.\n\nAsk for it in writing, itemized: campaign structure and current bid strategy, keyword strategy and negative lists, open Amazon cases with case numbers, inventory position and pending shipments, supplier contacts, and creative source files rather than exports. When a client leaves us, they keep the Seller Central account, the campaigns and the creative, and we document what is running and why.\n\n## What happens to billing when I cancel\n\nAsk specifically. The two clean structures are a final pro-rata invoice, or a deposit taken upfront that covers the final month.\n\nWe use the second. The first invoice covers the first and last month, so by the time anyone gives notice the exit is already paid for and there is no awkward final negotiation. Either approach is fine. What you do not want is an early termination fee, which is a minimum term wearing a different name.\n\n## When to switch amazon agency\n\nSeparate question, but the clause is what makes the answer cheap or expensive.\n\nSwitch when the leading indicators have been wrong for a quarter: cost of customer acquisition drifting up while sales look flat, the same initiatives appearing in the plan month after month, nobody ever recommending that you kill anything, and a new account manager each quarter. Revenue is a lagging indicator, and by the time it moves you have lost more than the notice period would have cost.\n\nWith a 30-day convenience clause, acting on that judgment costs you a month. With a twelve-month term and a 90-day window, the same judgment costs most of a year, which is why sellers on long contracts talk themselves into staying.\n\n## What most agencies will not tell you\n\nThe termination clause is the single best predictor of how the engagement will feel, and it is written before anyone has done any work.\n\nAn agency that expects to earn its retainer every month does not need to trap you. An agency that knows month seven is where clients start asking hard questions writes a twelve-month term. Read the exit terms first, before the pricing and before the case studies, because they tell you what the agency privately expects to happen.\n\nOne more: watch for a clause that survives termination and restricts who you can hire next. A non-solicit protecting their staff is fair, and ours runs 36 months.
