It works only when the baseline, the measurement window, the attribution setting, and the target are written down before the first campaign is touched. Otherwise you are paying for a definition. ## The short version - **Every performance fee is a definition first and a price second.** Agree the definition in writing before work starts. - **Fix the attribution window in the contract.** Changing it silently changes the payout without changing the results. - **Never let the baseline be measured after the account has been touched.** Take a snapshot on day zero. - **Cap the upside and set floor conditions,** so a bonus cannot be earned while account health degrades. - **Ask what analysis set the target.** A number chosen without market analysis is a guess with an invoice attached. ## Write the definition before you agree the price That is the whole instruction, and it is worth more than any comparison of percentages. Performance pricing sounds like an incentive question. In practice it is a measurement question, and the money follows whoever controls the measurement. Here is why the order matters. Advertising cost of sales improves the moment you stop advertising. Total advertising cost of sales improves when organic sales rise for reasons that may have nothing to do with the campaigns. Ad-attributed revenue rises with budget. Each of those metrics can move in the agency's favor without your profit moving at all, which is not fraud, it is arithmetic. So the definition is the deal. | Structure | How the agency is paid | What it quietly optimizes for |

Read it and then apply the checklist below to whichever structure you choose. ## The checklist for a performance-priced agreement 1. **Name one primary metric.** Two metrics create an argument about which one counted this quarter. 2. **Snapshot the baseline on day zero,** before any campaign, listing, or image is changed, and have both parties sign it. 3. **Fix the attribution window** and state that changing it requires written agreement from both sides. 4. **Set the measurement window at a quarter.** Weekly advertising data on Amazon is too noisy to price anything against. 5. **Cap the payout in currency,** not only as a percentage. An uncapped bonus on an account that has a great quarter for unrelated reasons is a bill nobody planned for. 6. **Add floor conditions.** No payment if return rate rises materially, account health degrades, or inventory ran out for reasons within the agency's control. 7. **State what happens during a stockout.** Either the window pauses or the affected weeks are excluded. Decide before it happens, because it will. 8. **Protect the honest recommendation.** Reducing spend or stopping a product must not cost the agency its payment, or you have quietly priced in bad advice. 9. **Agree who pays for the tooling** used to measure the metric, and who has read access to it. 10. **Write the exit terms.** What is owed if you leave mid-quarter, and what you receive: campaigns, structure, and history. Point eight is the one buyers skip and regret. Every performance structure makes the most valuable advice the most expensive advice to give. ### Ask what set the target Before agreeing to any number, ask how it was chosen. A target that comes from category analysis is defensible. A target that comes from the last client is a template. We look at more than 90 data points before we commit to a market or a target, including market size, growth trajectory, return rate, segment dynamics, and the rating gap against incumbents. If a candidate cannot tell you what they analyze besides review counts and monthly search volume, the number in the contract is decoration. One more thing to check before you sign anything performance-linked. If your conversion rate is low, no amount of ad spend fixes it, and no fee structure does either. Fix the listing, the primary image, and the price first, then talk about advertising targets that mean something. ## What most agencies will not tell you Performance pricing transfers risk in the way it is described and transfers it far less in practice. The base fee usually still covers the agency's costs, so the performance element is upside rather than genuine exposure. That is a reasonable commercial arrangement, but it should not be sold as shared risk. The part that goes unmentioned is how much of the outcome is outside anyone's control. Inventory arrives late, a competitor drops price, a category takes a seasonal dip, and the metric moves for reasons no operator caused. Whoever wrote the definition decides who absorbs that. If the agreement was drafted by the agency and never questioned, the exclusions will cover their bad luck and not yours. Ask for the exclusions in both directions.
