Read all six before the pricing.","The six that cost real money are long minimum terms, agency-owned Seller Central access, unclear ownership of creative and campaign history, automatic renewal with a long notice window, no defined exit handover, and a non-compete written against you rather than a non-solicit. Read those six clauses before you read the pricing.\n\n## The short version\n\n- **Minimum term.** Month-to-month with 30 days' notice is achievable. We use it.\n- **Account access.** The agency should work inside your Seller Central through permissions you grant and can revoke.\n- **Ownership.** Listings, creative, and campaign history are yours on payment.\n- **Renewal.** Watch for auto-renewal paired with a 60 or 90 day notice window.\n- **Exit handover.** If it is not in the contract, it will not happen.\n\n## The six clauses\n\nI run Flapen with 50 operators managing about 70 Amazon brands. I have also been the client, hiring and terminating agencies at BRANDED and Moonshot Brands. Minimum term\n\nA long minimum exists to protect the agency's revenue forecast, not your outcome. The usual justification is that Amazon takes time to show results, which is true, but it is an argument for patience, not for a contractual cage.\n\nYou do not need a long term to give a partnership time. You need a plan with milestones. Ours is month-to-month with 30 days' notice and no long-term contract, and clients still stay for years when the work is good.\n\n### 2. Account access\n\nThis is the one that turns a bad breakup into a catastrophe. If the agency created your Seller Central account, or holds the primary credentials, your business is inside their asset.\n\nThe correct structure is simple. You own the account. The agency works inside it through user permissions you grant, you can see every action taken, and you can revoke access yourself at any moment without asking anyone.\n\n### 3. Ownership of work\n\nPhotography, video, A+ content, listing copy, keyword research, and campaign structure are all assets you are paying to create. The contract should say that deliverables created for you become your intellectual property on full payment.\n\nExpect one carve-out, and accept it: the agency keeps its own internal tools, templates, and methodology. That is their business. The line is between what was built for you and what they brought with them.\n\n### 4. Renewal and notice\n\nThe trap is the pair, not either clause alone. Auto-renewal into a fresh twelve-month term, combined with a 90-day notice window, means you have a three-week window each year to leave. Miss it and you have bought another year.\n\n### 5. Exit handover\n\nMost contracts are silent here, and silence means you get a revoked login and nothing else. Ask for written documentation of what is running and why: campaign structure, keyword strategy, pending cases, supplier contacts, and creative source files. We hand this over as a matter of course when a client leaves, and it should be a line in the agreement rather than a favor.\n\n### 6. Restrictive covenants\n\nA non-compete that stops you from working with other providers, or from selling in a category, is not a normal agency term. Push back hard.\n\nA non-solicit is different and reasonable. Ours runs 36 months and prevents clients from directly hiring our staff, which protects a team we trained. That is a fair ask. A clause restricting your commercial freedom is not.\n\n## What most agencies will not tell you\n\nEvery one of these six is negotiable, and the ones that resist negotiation the hardest are usually the ones that matter most to the agency's economics rather than to your results.\n\nHere is the test I would apply. Ask what happens if you want to leave in month two. An agency confident in its work will describe a clean process. An agency that needs a contract to keep you will explain why leaving is complicated. The second answer tells you everything about how the following twelve months would go.\n\nThe other quiet one: contracts that are silent on kill criteria.
